These Terms of Service ("Terms") govern your use of the Viral Solution website (viral.tr) and our marketing services. By using our website or engaging our services, you agree to these Terms.

1. About Our Services

Viral Solution provides B2B marketing services for Turkish manufacturers seeking to enter Arab markets. Our services include:

  • Arabic content production (social media, catalogs, video scripts)
  • Market intelligence and research reports
  • Lead generation and buyer outreach
  • CRM automation and pipeline management

2. Service Engagements

All service engagements are governed by individual service agreements ("SOWs") that specify:

  • Scope of work and deliverables
  • Timeline and milestones
  • Pricing and payment schedule
  • Key performance indicators (KPIs)
  • Minimum commitment period (typically 3, 6, or 12 months)

These Terms apply in addition to any SOW. In case of conflict, the SOW takes precedence.

3. Our Performance Guarantee

We agree on measurable KPIs before starting any engagement. If we do not achieve the agreed targets within the specified timeline, we will continue working at no additional cost until the targets are met. This guarantee covers continued service delivery, not financial refunds. Specific guarantee terms are defined in each SOW.

4. Payment Terms

  • Payment schedules are defined in individual SOWs
  • Invoices are due within 15 days of issuance unless otherwise agreed
  • Late payments may incur a 1.5% monthly interest charge
  • Services may be paused if payments are more than 30 days overdue

5. Intellectual Property

  • Client content: All content produced for clients (copy, designs, videos, reports) becomes the client's property upon full payment
  • Our tools & methods: Our proprietary systems, processes, templates, and methodologies remain our intellectual property
  • Portfolio rights: We retain the right to showcase anonymized work in portfolios and case studies unless otherwise agreed in the SOW

6. Website Use

When using our website, you agree not to:

  • Submit false or misleading information through our contact form
  • Attempt to access restricted areas (e.g., /dashboard/)
  • Use automated tools to scrape content or submit forms
  • Reproduce, distribute, or modify our website content without permission

7. Contact Form & Communications

By submitting our contact form, you consent to receiving a response from our team via email or WhatsApp. You may opt out of further communications at any time by replying "unsubscribe" or contacting us at hello@viral.tr.

8. Limitation of Liability

While we commit to delivering agreed-upon services and KPIs, marketing results depend on multiple external factors including market conditions, product competitiveness, and economic changes. We are not liable for:

  • Revenue or profit outcomes beyond our agreed KPIs
  • Third-party platform changes (LinkedIn, Instagram algorithm updates)
  • Market conditions beyond our control
  • Client-side delays in providing materials or approvals

Our total liability shall not exceed the fees paid for the specific service in question during the 3 months preceding the claim.

9. Confidentiality

Both parties agree to keep confidential any proprietary business information shared during the engagement, including market research data, client lists, pricing strategies, and trade secrets. This obligation survives termination of the engagement for 2 years.

10. Termination

  • Either party may terminate with 30 days written notice
  • Early termination fees may apply as specified in the SOW
  • Upon termination, all completed deliverables will be transferred to the client
  • Outstanding invoices remain due upon termination

11. Dispute Resolution

Any disputes arising from these Terms or our services shall be resolved as follows:

  1. Negotiation: Good-faith discussion between both parties (30 days)
  2. Mediation: Through a mutually agreed mediator in Istanbul
  3. Arbitration: Istanbul Arbitration Center (ISTAC) under Turkish law

12. Governing Law

These Terms are governed by the laws of the Republic of Turkey. The courts of Istanbul shall have exclusive jurisdiction for any legal proceedings.

13. Changes to These Terms

We may update these Terms periodically. Material changes will be communicated to active clients via email. Continued use of our website or services after changes constitutes acceptance.
